Supplier Sub-Hire Agreement (Kenya)

Effective Date: 1 January 2025

1. Parties

This Supplier Sub-Hire Agreement ("Agreement") is entered into between Otto Rentals Limited ("Otto") and the supplier named in the applicable Order Form ("Supplier").

2. Scope

This Agreement governs the terms under which the Supplier sub-hires vehicles to Otto for fulfillment of customer rental bookings made through the Otto platform in Kenya.

3. Vehicle Standards

3.1 All vehicles provided under this Agreement must meet Kenyan motor vehicle inspection standards and hold valid road worthiness certificates.

3.2 Vehicles must be comprehensively insured with coverage acceptable to Otto.

3.3 Supplier shall maintain vehicles in a condition fit for rental use, including cleanliness, mechanical roadworthiness, and valid documentation.

4. Rates and Payment

4.1 Daily hire rates shall be as set out in the applicable Order Form.

4.2 Payment shall be made within 30 days of a valid invoice.

5. Term and Termination

5.1 This Agreement commences on the date of execution and continues for twelve (12) months, automatically renewing unless terminated with 30 days' written notice.

6. Governing Law

This Agreement is governed by the laws of Kenya.
