Supplier Rental On-Ground Agreement (Kenya)

Effective Date: 1 January 2025

1. Parties

This Supplier Rental On-Ground Agreement ("Agreement") is between Otto Rentals Limited ("Otto") and the supplier named in the applicable Order Form ("Supplier").

2. Scope

This Agreement governs the on-ground operational obligations of the Supplier when fulfilling vehicle rental bookings sourced through the Otto platform within Kenya.

3. Operational Standards

3.1 The Supplier shall provide vehicles in clean, roadworthy condition at the agreed pick-up location and time.

3.2 The Supplier is responsible for meet-and-greet, vehicle handover documentation, and collection at drop-off.

3.3 All driver licences and customer identification must be verified prior to handover.

4. Damage and Liability

4.1 Any damage occurring during the rental period shall be assessed jointly by Supplier and Otto.

4.2 Supplier maintains liability for pre-existing damage not documented at handover.

5. Insurance

Supplier must maintain third-party motor vehicle liability insurance as required by Kenyan law.

6. Term and Termination

This Agreement runs for twelve (12) months and auto-renews unless terminated with 30 days' written notice.

7. Governing Law

This Agreement is governed by the laws of Kenya.
